We may modify this Agreement in response to changes in applicable requirements, industry guidance, or decisions by courts, ombudsmen, or regulators; increased service, portfolio, or product costs; or technological changes and changes to service-delivery, investment, or financial systems.

We will implement changes for these reasons only where it is reasonable to pass their impact on to you, and our response will be proportionate. We may also modify these Terms for another valid reason, or where the change does not disadvantage you, such as to make the Agreement fairer, easier to understand, or to introduce an optional product or service. We will notify you of the change, its reason, and its effective date, giving reasonable prior written notice unless applicable requirements prevent this. If you do not accept a change, you may terminate this Agreement immediately.

Refund and Termination Policy

As per SEBI guidelines:

  • For premature termination of Investment Adviser services under the agreement, fees for the unexpired period will be refunded after deduction of a breakage fee of 25% of the total fee paid. The client must provide one month’s notice for premature termination.
  • For services requested for one month, fees paid are non-refundable.
  • Once a termination request is processed, the refund amount will be credited within 5–7 working days.

Illustration for Refunds on Premature Termination

Suppose a subscriber paid Rs. 12,000 for six months of services and wishes to terminate after using the service for 15 days:

  1. Total fee paid for six months: Rs. 12,000/-
  2. Monthly fee: Rs. 2,000/-
  3. Contract termination fee (25% of total fee): Rs. 3,000/-
  4. Service used before cancellation: 0.5 month
  5. Notice period: 1 month
  6. Total usage period: 1.5 months
  7. Unexpired period: 4.5 months
  8. Unexpired service fee: 4.5 × Rs. 2,000 = Rs. 9,000/-
  9. Refund to be processed: Rs. 9,000 - Rs. 3,000 = Rs. 6,000/-

No Warranty

  1. EquityPandit provides services and software “as is”, without any express or implied warranty, including warranties of merchantability, fitness for a particular purpose, or non-infringement. The software may contain defects, bugs, inoperable features, errors, or incomplete code. You assume all responsibility and risk for use of the Service and Software, which are provided on an “as available” basis.
  2. The accuracy, completeness, and timeliness of news and information through the Service are not guaranteed. You must conduct your own independent investigation and exercise your own business judgement before relying on any information. EquityPandit and its providers are not liable for errors, delays, or actions taken in reliance on such content.
  3. Nothing on this Website is intended or implied as an offer to sell or purchase securities, or as a recommendation to buy or sell securities.
  4. NRI users must ensure that stocks recommended by us are not on the RBI ban list before investing or placing an order with their trading member.

Indemnification

You agree to indemnify, save, and hold harmless EquityPandit, its affiliates, contractors, employees, officers, directors, agents, third-party associates, licensors, and partners from claims, losses, damages, liabilities, costs, and expenses, including legal fees, arising from your use or misuse of the Services or Website, breach of these Terms, or breach of your representations, warranties, and covenants. EquityPandit may assume the exclusive defence and control of any such matter at your expense, including settlement rights, and you agree to cooperate in the defence and settlement of these claims.

Limitation of Liability

To the maximum extent permitted by law, EquityPandit and its affiliates, subsidiaries, officers, directors, employees, and related parties shall not be liable to you or any third party for indirect, incidental, special, or consequential damages, or loss of revenue or profits, arising under or relating to these Terms. You waive, release, discharge, and hold them harmless from claims, losses, damages, liabilities, expenses, and causes of action arising from your use of the Website.

Severability

If a provision of these Terms of Use is found invalid or unenforceable by judicial decree or decision, the remaining provisions will remain valid and enforceable according to their terms.

Investment Risks

You acknowledge that information on the Website does not constitute advice. You should not make investments or take action solely on Website information. Investments involve third-party, market, and other risks, and EquityPandit shall not be liable for losses incurred from investments made in reliance on Website information.

Governing Law

These Terms of Use are governed by the laws of India. Any dispute between the parties is subject to the exclusive jurisdiction of the courts in Jaipur.
